Terms and Conditions

ZYSTEMA INC | TERMS & CONDITIONS

These Terms & Conditions ("Agreement") govern all proposals, estimates, quotations, purchase orders, invoices, products, and services provided by ZYSTEMA INC to the Customer. By approving a proposal, signing an agreement, making payment, or authorizing work to begin, the Customer acknowledges and agrees to these Terms & Conditions.

1. Scope of Work 

ZYSTEMA INC shall provide only the products and services specifically described in the approved proposal, estimate, contract, or invoice. 

Any work requested outside the original scope, including additional labor, programming, engineering, wiring, equipment, relocation, or configuration, shall require Customer approval and may be billed as a Change Order. 

2. Proposal Validity 

Unless otherwise stated in writing: 

• Proposals are valid for 30 calendar days. 
• Pricing is subject to manufacturer's availability. 
• Equipment availability cannot be guaranteed until materials have been ordered. 

3. Pricing 

Pricing is based upon: 

• Current manufacturer pricing 
• Material costs 
• Labor rates 
• Shipping and freight 
• Taxes 
• Tariffs 
• Supply chain conditions 

ZYSTEMA INC reserves the right to adjust pricing before procurement when unexpected manufacturer increases; tariffs, discontinued products, or market conditions occur. 

4. Payment Terms 

Unless otherwise agreed: 

• Deposit may be required before work begins. 
• Progress payments may be required for larger projects. 
• Final payment is due immediately upon substantial completion. 
• Outstanding balances may accrue interest of 1.5% per month (18% annually), or the maximum rate permitted by applicable law. 
• Customer shall be responsible for reasonable collection costs, attorney fees, and court costs resulting from non-payment. 

5. Change Orders 

Any modification to the approved scope of work may require a written Change Order. 

Changes may include: 

• Additional wiring 
• Equipment substitutions 
• Programming revisions 
• Relocation of devices 
• Construction modifications 
• Additional site visits 

Change Orders may affect pricing and project completion dates. 

6. Scheduling 

Project schedules are estimates only. 

Completion dates may change due to: 

• Construction delays 
• Weather 
• Product availability 
• Permit delays 
• Inspections 
• Manufacturer backorders 
• Customer-requested changes 
• Circumstances beyond ZYSTEMA INC's control 

The Company shall not be liable for delays resulting from these conditions. 

7. Customer Responsibilities 

Customer agrees to: 

• Provide safe access to all work areas. 
• Ensure electrical power and internet service are available when required. 
• Coordinate with builders, electricians, and other contractors. 
• Remove or protect valuable personal property. 
• Notify ZYSTEMA INC of any construction schedule changes. 

Additional trips caused by customer delays may be billed at current service rates. 

8. Equipment Ownership 

All equipment, materials, software licenses, and products supplied by ZYSTEMA INC remain the property of ZYSTEMA INC until payment has been received in full. 

The Company reserves the right to remove unpaid equipment were permitted by law. 

9. Product Substitutions 

When specified equipment becomes unavailable, discontinued, or delayed, ZYSTEMA INC may recommend equivalent or superior products. 

Customer approval will be obtained whenever pricing or functionality materially changes. 

10. Workmanship Warranty 

ZYSTEMA INC warrants its installation workmanship for one (1) year from the date of substantial completion unless otherwise stated in writing. 

This warranty covers defects resulting directly from installation performed by ZYSTEMA INC. 

11. Manufacturer Warranty 

All equipment is covered solely by the manufacturer's warranty. 

Manufacturer warranty terms, coverage periods, and claim procedures vary by brand. 

ZYSTEMA INC does not extend or modify manufacturer warranties. 

12. Warranty Exclusions 

Warranty does not cover: 

• Customer misuse 
• Accidental damage 
• Abuse or neglect 
• Water damage 
• Fire 
• Lightning 
• Power surges 
• Utility failures 
• Internet outages 
• ISP issues 
• Construction damage 
• Pest damage 
• Acts of God 
• Unauthorized modifications 
• Third-party repairs 
• Normal wear and tear 

13. Service Calls 

Warranty service applies only to installation-related workmanship defects. 

The following may be billed at current service rates: 

• Software updates 
• Firmware updates 
• User training 
• Password recovery 
• ISP troubleshooting 
• Wi-Fi optimization 
• Manufacturer updates 
• Device reconnections 
• Customer-requested configuration changes 

14. Networking Disclaimer 

Network performance depends on factors beyond the Company's control, including: 

• Internet Service Provider (ISP) 
• Modem quality 
• Router firmware 
• Wireless interference 
• Building materials 
• Customer-owned devices 
• Streaming providers 
• Cloud services 

Accordingly, ZYSTEMA INC does not guarantee: 

• Internet speed 
• Wi-Fi coverage 
• Streaming performance 
• Cloud service availability 
• Wireless performance 
• Network uptime 

15. Third-Party Services 

Many installed systems rely on third-party services including: 

• Internet providers 
• Cloud servers 
• Mobile applications 
• Voice assistants 
• Streaming platforms 
• Security monitoring companies 
• Remote access services 

ZYSTEMA INC is not responsible for service interruptions, subscription changes, discontinued features, software updates, licensing changes, or outages caused by third parties. 

16. Programming & Software 

System programming is completed using manufacturer software available at the time of installation. 

Future manufacturer software updates may affect compatibility or functionality. 

Additional programming requested after project completion may be billed separately. 

17. Photography 

Unless prohibited in writing, ZYSTEMA INC may photograph completed installations for training, documentation, marketing, website, and portfolio purposes. 

Customer identity and address will not be disclosed without permission. 

18. Limitation of Liability 

To the fullest extent permitted by law, ZYSTEMA INC shall not be liable for: 

• Indirect damages 
• Consequential damages 
• Incidental damages 
• Lost profits 
• Business interruption 
• Loss of data 
• Loss of use 
• Property damage beyond the Company's direct responsibility 

The Company's maximum liability shall not exceed the total amount paid by Customer for the specific services giving rise to the claim. 

19. Force Majeure 

ZYSTEMA INC shall not be responsible for delays or failure to perform caused by events beyond its reasonable control, including: 

• Natural disasters 
• Hurricanes 
• Floods 
• Fires 
• Pandemics 
• Labor shortages 
• Material shortages 
• Government actions 
• Transportation delays 
• Utility outages 

20. Cancellation 

Orders canceled after procurement may be subject to: 

• Non-refundable deposits 
• Restocking fees 
• Shipping charges 
• Labor already performed 
• Special-order equipment costs 

Custom-built, programmed, or made-to-order products are generally non-refundable. 

21. Governing Law 

This Agreement shall be governed by the laws of the State in which the services are performed. 

Any disputes shall be resolved in the courts having jurisdiction within that state unless otherwise agreed in writing. 

22. Entire Agreement 

These Terms & Conditions, together with the approved proposal, Change Orders, invoices, and written amendments, constitute the complete agreement between ZYSTEMA INC and the Customer and supersede all prior discussions, negotiations, and representations.

Acceptance 

By signing a proposal, approving an estimate, issuing a purchase order, authorizing work, or making payment, the Customer acknowledges that they have read, understood, and agreed to these Terms & Conditions.
